Terms of Service

Effective date: May 4, 2026

1. Acceptance of Terms

By accessing or creating an account on MyBacked (the "Service"), you agree to be bound by these Terms of Service ("Terms"). MyBacked is operated by Backed LLC, a Nevada limited liability company ("MyBacked," "we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

2. What MyBacked Is

MyBacked is a software-as-a-service record-keeping and communication platform for poker staking arrangements. The Service allows poker players and the people who back them ("backers") to:

  • Record the terms of pre-existing staking arrangements between consenting parties
  • Log session results and verify them between participants
  • Calculate makeup balances, profit splits, and settlement amounts
  • Communicate via in-app chat and notifications
  • Maintain an audit trail of changes to their arrangements

3. What MyBacked Is Not

MyBacked is not:

  • A gambling service, sportsbook, or wagering platform
  • A money transfer service, payment processor, or escrow
  • A custodian, trustee, or fiduciary of any user funds
  • A party to any staking arrangement between users
  • A provider of financial, legal, tax, or investment advice
  • A guarantor of any user's performance under any staking arrangement

We do not hold, transfer, or process money between users. The Service computes amounts owed based on the inputs users enter; the actual movement of money happens entirely outside the Service through whatever method the parties choose (wire, Venmo, cash, etc.). MyBacked has no role in, and bears no responsibility for, those off-platform transfers.

The only money MyBacked processes is your subscription fee, which is handled by Stripe.

4. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into these Terms
  • Your use of the Service does not violate any law, regulation, or contract that applies to you

We may terminate any account where the user does not meet these requirements.

5. Accounts

You are responsible for:

  • Providing accurate registration information and keeping it up to date
  • Maintaining the confidentiality of your password
  • All activity that occurs under your account
  • Notifying us promptly at team@mybacked.com of any unauthorized account access

You may delete your account at any time from the Settings page. We may suspend or terminate accounts at our discretion if a user violates these Terms or engages in conduct we reasonably believe is fraudulent, harmful, or illegal.

6. Subscriptions and Billing

MyBacked offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually through Stripe.

Auto-renewal. Paid subscriptions automatically renew at the end of each billing period at the then-current rate for your plan. You authorize us to charge the payment method on file until you cancel.

Cancellation. You may cancel at any time from the Settings → Billing page or through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.

Refunds. Subscription fees are non-refundable except where required by law. We do not offer pro-rated refunds for partial billing periods.

Founders' rate. Subscriptions purchased at a Founders' rate during the launch promotion window are guaranteed at that rate for twelve (12) months from the start of the subscription. After that twelve-month period, the subscription renews at the standard published rate for the corresponding plan. The Founders' rate is not transferable and applies only to the initial twelve-month term.

Price changes. We may change subscription prices at any time. Price changes take effect at the start of your next billing period; we will email registered users at least thirty (30) days before any price change applies to their account. If you do not agree to a price change, you may cancel before it takes effect.

7. User Content and Data

You retain ownership of all data you enter into the Service ("Your Content"), including stake details, session results, deal terms, notes, and chat messages. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to store, copy, transmit, display, and process Your Content solely to operate the Service for you and your authorized staking counterparts.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. The Service performs calculations based on Your Content; we do not independently verify session results, buy-ins, deal terms, or any other input.

8. Encryption and Key Management

MyBacked offers an optional client-side encryption feature for individual stakes ("Encrypted Stakes"). When you enable encryption on a stake:

  • The encryption key is generated locally in your browser using AES-256-GCM
  • The key is stored in your browser's local storage and is never transmitted to us
  • Keys are shared between authorized stake participants via the URL fragment of invite links, which is parsed entirely client-side and never reaches our servers
  • We hold only the encrypted ciphertext for your stake; we cannot decrypt your data
  • If every participant on an Encrypted Stake loses their key, the encrypted data on that stake becomes permanently and irreversibly inaccessible

You acknowledge and agree that:

  • You are solely responsible for backing up and safeguarding your encryption keys
  • We have no ability to recover lost keys or decrypt encrypted data without a key
  • We are not liable for any loss of data resulting from a lost or compromised key

9. Disclaimer Regarding Staking Arrangements

Staking arrangements recorded on the Service are private agreements between the participants. MyBacked is not a party to those agreements and does not enforce, mediate, or arbitrate them. We make no representation or warranty that any participant will perform their obligations under any staking arrangement.

You acknowledge that:

  • Disputes between participants are between those participants
  • We have no obligation to investigate, intervene in, or take sides in any such dispute
  • We may, but are not required to, provide records of stake activity to participants on request

10. Acceptable Use

You agree not to:

  • Use the Service to violate any applicable law or regulation
  • Use the Service to engage in or facilitate gambling activity, money laundering, or other illegal financial activity
  • Misrepresent your identity, deal terms, or session results to any other user
  • Attempt to gain unauthorized access to other accounts, data, or systems
  • Reverse engineer, decompile, scrape, or otherwise attempt to extract the source code of the Service
  • Interfere with, disrupt, or impose unreasonable load on the Service or its infrastructure
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written permission
  • Resell, sublicense, or otherwise commercially exploit access to the Service
  • Use the Service to harass, threaten, or harm any other user

We may suspend or terminate accounts that we reasonably believe are engaged in any of the above.

11. Intellectual Property

The Service, including all software, design, branding, text, graphics, and other content (excluding Your Content), is the property of Backed LLC or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. All other rights are reserved.

"MyBacked" and the MyBacked logo are trademarks of Backed LLC. You may not use our trademarks without our prior written consent.

12. DMCA / Copyright

If you believe content on the Service infringes your copyright, send a notice to team@mybacked.com that includes:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material that is claimed to be infringing and where it is located on the Service
  • Your contact information (address, phone, email)
  • A statement that you have a good-faith belief the use is unauthorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the rights holder

We will respond to valid notices in accordance with the Digital Millennium Copyright Act. We may terminate the accounts of users we identify as repeat infringers.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE FROM UNAUTHORIZED ACCESS, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BACKED LLC, ITS OFFICERS, EMPLOYEES, OR OWNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR LOSSES ARISING FROM ANY STAKING ARRANGEMENT TRACKED ON THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE FORM OF THE ACTION (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), WILL NOT EXCEED TWO TIMES (2×) THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU PAID NO SUBSCRIPTION FEES IN THAT PERIOD, OUR LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15. Indemnification

You agree to defend, indemnify, and hold harmless Backed LLC, its officers, employees, and owners from and against any claim, demand, damage, loss, liability, or expense (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party right
  • Any dispute between you and another user, including any staking counterpart
  • The accuracy or legality of Your Content

16. Governing Law

These Terms are governed by and construed under the laws of the State of Nevada, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. Forum Selection and Jury Trial

Any action, suit, or proceeding arising out of or relating to these Terms, the Service, or your relationship with us must be brought exclusively in the state courts located in Esmeralda County, Nevada. You and we irrevocably consent to the personal jurisdiction and venue of those courts and expressly waive any objection based on inconvenient forum.

The parties further agree that any such action shall be tried before a jury, and each party waives any right to seek a bench trial or to have such action heard by a judge sitting without a jury.

18. Termination

You may stop using the Service and delete your account at any time from the Settings page.

We may suspend or terminate your access to the Service at our discretion if we believe in good faith that you have violated these Terms, engaged in fraudulent or harmful conduct, or used the Service in a way that creates legal risk for us or other users.

On termination, your right to use the Service immediately ends. Sections 7, 8, 9, 11, 13, 14, 15, 16, 17, and this Section 18 survive termination.

Account deletion permanently removes Your Content from active systems within thirty (30) days, subject to limited backup retention as described in our Privacy Policy.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify registered users by email and post a notice on the Service at least seven (7) days before the changes take effect. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.

20. Miscellaneous

Entire agreement. These Terms (together with our Privacy Policy) constitute the entire agreement between you and us regarding the Service.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

No third-party beneficiaries. These Terms are for the benefit of you and us only.

Notices. Notices to you may be sent by email to the address on your account. Notices to us must be sent to team@mybacked.com.
